Terms of Service

1. Service Description

AKMI Human Performance ("AKMI", "we", "our") is a biomechanical assessment coaching platform operated by Up2Excel LLC. Our services include biomechanical assessments, structural programming, nutritional architecture, and related coaching services delivered through our platform and by certified AKMI coaches.

2. Acceptance of Terms

By accessing our website at akmihumanperformance.com or using any AKMI services, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our services.

3. Eligibility

You must be at least 18 years of age to use our services. By using AKMI, you represent that you are at least 18 years old and have the legal capacity to enter into these terms. Minors may use the platform only under the supervision and consent of a parent or legal guardian.

4. Client Intake Process

All prospective clients undergo a pre-qualification intake process at no cost. Acceptance into any service tier is at the sole discretion of AKMI and its certified coaches. We reserve the right to decline service if we determine the program is not a suitable fit.

No payment is collected until both parties confirm mutual fit. Once payment is processed and the assessment deliverables (Strategic Brief, protocols, programming) are provided, those materials constitute delivered intellectual property.

5. Payment Terms

Pricing for each service tier is displayed on our Services page. All prices are in EUR unless otherwise stated. Payment is due as specified for each tier:

• One-time services: Payment due upon acceptance, before assessment delivery.
• Monthly services: Billed monthly. Cancellation requires 7 days notice before the next billing cycle.

We reserve the right to modify pricing with 30 days written notice to active clients.

6. Refund Policy

Due to the proprietary nature of our methodology, refunds are not available once assessment deliverables have been provided. The intake process exists to verify fit before any payment is collected. If we cannot deliver the agreed service, a full refund will be issued.

7. Acceptable Use

You agree to use our platform and services only for lawful purposes. You will not:

• Share, redistribute, or resell any AKMI assessment materials, protocols, or deliverables without written authorization.
• Reverse-engineer, copy, or replicate the AKMI assessment methodology.
• Provide false information during intake or assessment processes.
• Use the platform to harass, abuse, or harm other users or coaches.
• Attempt to gain unauthorized access to any part of the platform.

8. Intellectual Property

All content on akmihumanperformance.com and within the AKMI platform -- including but not limited to the assessment methodology, Strategic Brief format, programming frameworks, 7-block rationale system, and all written deliverables -- is the intellectual property of Up2Excel LLC.

Clients receive a personal, non-transferable license to use their individual assessment materials and training programs. This license does not extend to the underlying methodology or framework.

9. Health Disclaimer

AKMI services are educational and coaching in nature. We are not a medical provider. Our assessments, programming, and nutritional guidance do not constitute medical advice, diagnosis, or treatment. You should consult with qualified healthcare professionals before beginning any new exercise or nutrition program, particularly if you have pre-existing health conditions, injuries, or medical concerns.

By using our services, you acknowledge that physical activity carries inherent risks and you assume responsibility for your own health decisions.

10. Limitation of Liability

To the maximum extent permitted by law, Up2Excel LLC and its certified coaches shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability for any claim shall not exceed the amount paid by you for the specific service giving rise to the claim.

11. Coach Conduct

Certified AKMI coaches operate under the AKMI methodology framework and quality standards. While AKMI provides training, tools, and oversight, individual coaches are independent practitioners responsible for their professional conduct and client relationships.

12. Termination

Either party may terminate the coaching relationship with 7 days written notice. AKMI reserves the right to immediately terminate service in cases of terms violation, abusive behavior, or non-payment. Upon termination, clients retain access to previously delivered materials but lose platform access.

13. Modifications

We may update these Terms of Service at any time. Changes take effect upon posting to this page. Continued use of the service after changes constitutes acceptance of the revised terms. Material changes will be communicated via email to active clients.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States. Any disputes arising under these terms shall be resolved in the courts of Delaware, unless otherwise required by applicable law (including EU consumer protection regulations for EU-based clients).
